  1. The digital service. Client can license ASCENTINEL’s AudioHarvest platform to manage the creation of audio files from the clients list of approved websites, and the distribution of those selfsame audio files, as set forth in article 3. 
  2. Account Terms
    1. Client must be 18 years or older to use this Service.
    2. Client must provide their full legal name, a valid email address, and any other required information to complete the sign-up process.
    3. Client are responsible for maintaining the privacy and security of their account. Ascentinel AB will not be held liable for any damage or loss that may result from their failure to protect their login information, including their password.
    4. Client may not use the Service for any illegal purpose or to violate any laws in their jurisdiction (including but not limited to copyright laws).
    5. Client must be a human. Accounts registered by “bots” or other automated methods are not permitted.
    6. One person may not maintain more than one free account
  1. Termination
    1. Client alone are responsible for the proper cancellation of their account. Client may cancel their account at any time by clicking on My Account > Cancel Their Account links in the Service’s navigation menu. This provides a simple link to cancel their account at any time. Email or phone requests to cancel their account will not be deemed cancellation.
    2. Their account and all of its Content within the account will be deleted immediately upon their cancellation of the Service. This information can NOT be recovered once it has been deleted.
    3. Client can cancel at any time, but the client will remain liable for all charges within the AudioHarvest agreement that the client signed up to.
    4. AudioHarvest reserves the right to modify, suspend, or terminate their account and refuse any and all current or future use of the Service for any reason at any time with or without notice or refund. Such termination of the Service will result in the deactivation or deletion of their Account or their access to their Account, and the forfeiture and relinquishment of all content in their account. AudioHarvest may refuse service to anyone for any reason at any time.
  1. Representations and Warranties 
    1. Client represents and warrants that at all times throughout the Term: (i) it has and will have full authority to enter into this Agreement and to carry out and fully perform its obligations hereunder, and there is no restriction, limitation, or obligation, whether contractual, statutory or otherwise, which prevents it from maintaining its representations and fulfilling its obligations under this Agreement; (ii) it has obtained, maintains and is the holder of all licenses, permits, certificates, and authorizations required by any applicable law, regulation, statutory or governmental authority, for it to lawfully hold and operate its Websites, Mobile Applications and/or services (collectively, “Client Services“) and provide, offer, distribute, broadcast, make available to the public, and publicly perform the Client Services in accordance with this Agreement; (iii) it complies and shall continue to comply with all applicable laws, rules, and governmental (state, local, and community) and regulatory levies and requirements relating to it and to the Client Services including, without limitation and where applicable, laws, regulations and directives applicable to the processing of personal data and on the free movement of such data, and the protection of privacy; (iv) its use of the ASCENTINEL AudioHarvest Platform is subject to its representation that it is authorized and holds all consents and authorizations required to use the ASCENTINEL AudioHarvest Platform and act as Client of the Campaigns and that all data regarding end-users gained pursuant to the execution of this Agreement will be used for legal purposes in accordance with this Agreement and any applicable laws, regulations, policies and terms of use; (v) it is the sole owner of the Text and/or hold all rights, licenses, consents, and permissions (including from all copyright holders) which are required to allow ASCENTINEL to convert the Text into Speech for the purposes of the provision of ASCENTINEL’s Services, and otherwise to use the Text in the manner contemplated by this Agreement, and that it has waived and/or procured the right to waive all moral rights to the Text to be converted into Speech; (vi) Client Services (and any content therein, including without limitation, the Text) do not and will not infringe any intellectual property rights, rights of publicity, privacy or data protection rights of any third party and will not contain, promote, include or advertise any information or content (including without limitation any text, sound, data photo or image) and/or product which is and/or which contains the content restrictions set forth in clause 12.10 (“Prohibited Content”); 
    2. Client represents and warrants at all times throughout the Term that it is solely responsible for the consequences of handling, posting or publishing the Text and any other content used by it for the purpose of providing Client’s Services. Client further acknowledges and agrees that ASCENTINEL does not endorse any of the Text or any opinion, recommendation, or advice expressed therein, and ASCENTINEL expressly disclaims any and all liability in connection with the Text.
  2. Disclaimers; limitations of liabilities
    1. ASCENTINEL does not warrant or make any representations regarding the use, the inability to use or operate, or the results of the use or operation of the ASCENTINEL AudioHarvest Platform, conversion of text into speech, or any other ASCENTINEL services (or any part thereof). The ASCENTINEL AudioHarvest platform, conversion of text into speech, audio widget player and any other ASCENTINEL services (and any part thereof), including without limitation any content, data, products, marketing materials, reports and any information related thereto, are provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied, including warranties of title or non-infringement or implied warranties of use, merchantability or fitness for a particular purpose or use. ASCENTINEL is not responsible for the results of a Client’s use of the ASCENTINEL AudioHarvest Platform, the speech, the audio widget player or its publications of campaigns. ASCENTINEL does not warrant or represent that the ASCENTINEL AudioHarvest Platform, the speech, audio widget player and/or any other ASCENTINEL services under this agreement will be provided without interruptions or shall be error free. ASCENTINEL does not endorse any entity, product, service, speech or ASCENTINEL AudioHarvest Platform used and/or transmitted in connection with the ASCENTINEL services. The use of the ASCENTINEL AudioHarvest Platform, the speech, audio widget player and/or any other ASCENTINEL services under this agreement are at a Client’s own risk.
    2. ASCENTINEL shall not be liable for indirect, incidental, consequential, special or punitive damages, including without limitation loss of or damage to data, loss of anticipated revenues or profits, work stoppage or impairment of other assets, whether in an action of contract, negligence or other tortious actions resulting from or arising out of this agreement. without derogating from the foregoing, the aggregate liability which may be imposed upon ASCENTINEL under, arising out of or relating to the agreement shall not exceed the amounts paid by the Client to ASCENTINEL during the six-month period immediately prior to the time that the cause of action arose.
  3. Intellectual Property, Restrictions on Use and Maintenance
    1. ASCENTINEL’s AudioHarvest Platform, the technology utilized by ASCENTINEL to operate the ASCENTINEL Services (and any part thereof), audio files produced and copyrightable materials, graphics, text, images, users, leads ,specifications, methods, procedures, information, know-how, algorithms, data, inventions, patents and patent applications, technical data, interactive features, source and object code, files, interface and trade secrets of the ASCENTINEL AudioHarvest Platform, , and any trademarks, trade names, logos of ASCENTINEL, whether or not registered or capable of being registered (collectively, “ASCENTINEL Assets”), are owned and/or licensed to ASCENTINEL, and are subject to copyright and other applicable intellectual property rights under domestic laws, foreign laws and international conventions. To the extent the rights to any such assets are held by Client, Client hereby licenses such rights to ASCENTINEL.
    2. Except for the limited license rights expressly granted to the Client pursuant to this Agreement, ASCENTINEL retains all right, title and interest in and to the ASCENTINEL Assets.
    3. ASCENTINEL grants the Client a personal, worldwide, royalty-free, non-assignable and non-exclusive license solely to use the ASCENTINEL assets solely as specifically permitted and under the terms set forth in this Agreement. Client may not copy, distribute, display, execute publicly, make available to the public, reduce to human readable form, decompile, disassemble, adapt, sublicense, make any commercial use, sell, rent, lend, process, compile, reverse engineer, combine with other software, translate, modify or create derivative works of the ASCENTINEL Assets, either by itself or by anyone on its behalf, in any way or by any means, unless expressly permitted under this Agreement. Further, Client may not (i) violate the legal rights of others and/or transmit or otherwise make available in connection with the, ASCENTINEL AudioHarvest Platform, conversion of Text into Speech, and any other Services (and any part thereof) any virus, worm, Trojan Horse, time bomb, web bug, spyware, or any other computer code, file, or program that may or is intended to damage or hijack the operation of any hardware, software, or telecommunications equipment, or any other actually or potentially harmful, disruptive, or invasive code or component including code to monitor users without their prior consent; (ii) interfere with or disrupt the operation of conversion of Text into Speech,; and/or (iii) use the ASCENTINEL AudioHarvest Platform, and/or Speech in any way or context, that harms the goodwill or reputation of ASCENTINEL.

ASCENTINEL has no obligation to provide upgrades, modifications, or new releases to the ASCENTINEL AudioHarvest Platform under this Agreement.
